**Description**



# Summary



This position is responsible for providing legal advice in the areas of franchised and managed hotel development; the purchase, sale and financing of real estate and other forms of collateral; senior and mezzanine lending; and general business counseling, including M&A activities. This person will protect the company's rights in contract negotiations; counsel the company's sales teams on the legal risks associated with various forms of development financing, ensure compliance with laws and assist with due diligence in mergers and acquisitions transactions. The position will support the franchised and managed development and corporate M&A teams through regular interactions with other legal and cross-functional teams (finance, tax, risk management, HR, operations) and outside counsel.



# Responsibilities



+ Negotiates and drafts special financing arrangements in connection with the development of hotels

+ Negotiates and drafts special provisions in franchise and managed hotel agreements, amendments, transfers and renewals and counsels the sales team

+ Draft diligence reports/memos, deal summaries and agreements typically used in M&A

+ Develop and implement standardized templates and processes for repeatable transactions, with an eye towards enhancing the efficiency of WHR's M&A and deal process

+ Legal support for range of commercial activities (drafting and negotiating contracts, including procurement and vendor contracts)

Excellent writing and oral communication skills and attention to detail



Ability to think independently and make sound decisions without long contemplation or research



Strong analytical and drafting skills, with experience drafting transaction documents required



Ability to lead due diligence teams, closings and integration efforts



Ability to promptly and effectively respond to questions and concerns from senior management, clients, and customers and explain complex transactional issues in plain English



Ability to define problems, collect relevant information, establish facts, draw valid conclusions and exercise sound discretion and judgment in making decisions and performing duties



Self-starter; ability to multi-task and handle large volumes of work



Demonstrated ability to influence individuals outside direct reporting relationships



## Experience/Certificates/Education



#



Law degree



Admission to NJ or NY Bar



A minimum of 6 to 8 years of relevant experience in a top tier law firm environment or in house



Strong transactional and counseling foundation



Experience in real estate financing, senior and mezzanine lending, commercial contracts, and business counseling required



Hospitality industry experience preferred
